Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website, products, applications, and services (collectively, the "Services") provided by Orion Omega ("Orion Omega", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility & accounts
You must be at least 16 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. Acceptable use
You agree not to, and not to permit others to:
- use the Services in violation of any applicable law or regulation;
- infringe the intellectual property or privacy rights of others;
- attempt to gain unauthorized access to the Services or related systems, or probe, scan, or test their vulnerability without authorization;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer or copy the Services except as permitted by law; or
- use the Services to build a competing product, or to transmit malware, spam, or unlawful content.
3. The Services
Orion Omega provides software development and AI engineering services and products, including SaaS applications, MCP tools, AI business intelligence, AI orchestration, and the Enterprise CLAW platform. Specific features, scopes, and commitments for a paid engagement may be governed by a separate order form, statement of work, or master services agreement, which prevails over these Terms to the extent of any conflict.
4. Third-party services
The Services may integrate with third-party platforms (for example, Google APIs) at your direction. Your use of those platforms is governed by their own terms and policies. When you connect a third-party account, you authorize us to access and use that data solely to provide the requested features, as described in our Privacy Policy. We are not responsible for third-party services.
5. Intellectual property
The Services, including all software, text, graphics, and trademarks (excluding your content), are owned by Orion Omega or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No rights are granted except as expressly set out here.
6. Your content & data
You retain all rights to the content and data you submit to or authorize us to access through the Services ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents for Your Content.
7. Fees
Paid Services are billed as described in the applicable order form or plan. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due per the agreed schedule. We may suspend Services for non-payment after reasonable notice.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated outputs will be accurate or complete. You are responsible for reviewing outputs before relying on them.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORION OMEGA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
10. Indemnification
You agree to indemnify and hold harmless Orion Omega from any claims, damages, liabilities, and expenses arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure for us, or where required by law. Upon termination, provisions that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.
12. Governing law & disputes
These Terms are governed by the laws of [Governing jurisdiction — e.g., the State of Delaware, USA], without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law grants you the right to bring proceedings elsewhere. We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice as appropriate. Your continued use of the Services after changes take effect constitutes acceptance.
